Terms and Conditions

Induo ("Company", "we", "us", or "our") provides an image processing service (the "Service").

By registering for an account or using the Service, you ("Customer", "Developer", or "You") agree to be bound by these Terms and Conditions ("Terms"). If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

1. Access and Grant of License

1.1 License Grant

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Service to integrate our image processing capabilities into your applications ("Customer Applications").

1.2 Your End Users

You are responsible for all activity that occurs under your account credentials, including the actions of your end users ("End Users"). You agree to:

  • Ensure your End Users comply with the "Acceptable Use" standards set forth in Section 4.
  • Assume full liability for any Content uploaded or processed by your End Users via your account.

2. Intellectual Property and Ownership

2.1 Ownership of Input Content

You (or your End Users, as applicable) retain all rights, title, and interest in the source images uploaded to the Service ("Input Content"). You represent and warrant that you have obtained all necessary rights and permissions from your End Users to transmit this content to us for processing.

2.2 Ownership of Output Content

As between you and us, you own all right, title, and interest in the image generated by the Service ("Output Content"). We hereby assign to you any rights we may have in the Output Content. It is your responsibility to determine ownership rights between you and your End Users.

2.3 License to Company

You grant us a worldwide, royalty-free license to host, copy, and process the Input Content and Output Content for the purpose of providing the Service to you (including the content assessment described in Section 4) and for improving and developing the Service (including our machine learning models), as described in our Privacy Policy.

3. Customer Obligations

3.1 Integration Security

You are responsible for maintaining the security of your access credentials (e.g., API keys, tokens). You must not embed credentials in client-side code (e.g., public GitHub repos, mobile app binaries) where they can be easily scraped.

3.2 End User Terms

You agree that your agreement with your End Users will protect our rights and limit our liability to at least the same extent as these Terms. You must maintain a Privacy Policy that discloses to your End Users that their images are processed by third-party service providers.

4. Acceptable Use Policy

4.1 Prohibited Content

You agree strictly not to use the Service, and you must ensure your End Users do not use the Service, to process images that contain:

  • Illegal Content: Child Sexual Abuse Material (CSAM), non-consensual sexual content (revenge porn), or content promoting illegal acts.
  • Hate Speech: Content that promotes violence or hatred against individuals or groups based on race, religion, gender, or sexual orientation.
  • Infringing Material: Content that infringes on the intellectual property or privacy rights of third parties.

4.2 End User Notification

You acknowledge that you are the primary point of contact for your End Users. You agree to explicitly inform your End Users of the restrictions listed in Section 4.1 via your own Terms of Service or User Agreement. You must expressly prohibit the upload of such content.

4.3 Content Assessment and Enforcement

We reserve the right to process and analyze any Input Content to assess compliance with this Acceptable Use Policy. If we determine, at our sole discretion, that the Input Content falls into the categories listed in Section 4.1:

  1. Refusal of Service: We will refuse to return an Output Image; and
  2. Billing for Assessment: You acknowledge that computational resources are required to upload, process, and assess the Input Content. Therefore, you will still be charged the standard rate for the Service request, regardless of whether an Output Image was returned, under these circumstances.

5. Fees and Payment

  • Pricing: Usage of the Service is subject to the fees set forth on our [Pricing Page URL].
  • Billing: Fees are billed per request. You authorize us to charge your payment method on file, and you agree to pay all fees incurred in connection with your use of the Service.
  • Charges for Violation: As detailed in Section 4.3, requests containing prohibited content that are blocked by our systems are billable events.
  • Taxes: You are responsible for any applicable sales or value-added taxes.

6. Disclaimers and Limitation of Liability

6.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." WE MAKE NO REPRESENTATION OR WARRANTY THAT THE OUTPUT CONTENT WILL BE UNIQUE, ERROR-FREE, OR SUITABLE FOR YOUR SPECIFIC PURPOSE. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

6.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, Induo Ltd SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, DATA, OR USE) ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

7. Indemnification

You agree to indemnify, defend, and hold harmless Induo Ltd, its officers, directors, and employees from and against any claims, liabilities, damages, losses, and expenses (including legal fees) arising out of:

  1. Your or your End Users' violation of these Terms.
  2. Any claim that the Input Content or Output Content infringes upon the rights of a third party (e.g., copyright claims).
  3. Your End Users' use of the Service.

8. General Provisions

  • Termination: We may terminate your access to the Service at any time for violation of these Terms. You may terminate by canceling your account.
  • Governing Law: These Terms shall be governed by the laws of United Kingdom.
  • Modifications: We may update these Terms from time to time. Continued use of the Service after changes constitutes acceptance of the new Terms.
